Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the Aromathy platform ("Service"), operated by Aromathy Ltd, a company registered in Northern Ireland (company number NI738147), with its registered office at Ground Floor, Gallery Building, 65-69 Dublin Road, Belfast, BT2 7HG ("we", "us", "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

Aromathy is a software platform that assists candle, wax melt, and scented product makers in generating Classification, Labelling and Packaging (CLP) compliant safety labels. The Service includes:

• Safety Data Sheet (SDS) upload and parsing
• Product formula management
• CLP label generation for UK (GB CLP) and EU CLP regimes
• Unique Formula Identifier (UFI) generation
• Supplier and ingredient management
• Product costing tools

3. Important Disclaimer - Your Responsibility

The Service is a tool to assist you with CLP compliance. It does not replace professional regulatory advice.

You acknowledge and agree that:

• You are solely responsible for the accuracy of all data entered into the Service, including but not limited to ingredient names, percentages, Safety Data Sheet information, company details, and product descriptions.
• You are solely responsible for ensuring your products comply with all applicable regulations, including but not limited to the GB CLP Regulation, the EU CLP Regulation, UK REACH, EU REACH, and the General Product Safety Regulation (GPSR).
• Aromathy does not verify the accuracy of Safety Data Sheets uploaded to the Service. If the SDS provided by your supplier contains errors, the labels generated by the Service may also contain errors.
• Aromathy does not test your products. Physical properties such as flash point, if not entered by you, are estimated from ingredient data and may not reflect the actual properties of your finished product.
• CLP labels generated by the Service are based on the data you provide and the classification algorithms within the Service. While we make every effort to ensure accuracy, we do not guarantee that labels generated will meet all regulatory requirements in all circumstances.
• The legal responsibility for placing a correctly classified and labelled product on the market rests with you as the person placing the product on the market, not with Aromathy.
• You should seek professional regulatory advice if you are unsure about any aspect of your product's classification or labelling obligations.

4. Accounts

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be at least 18 years old to use the Service. The Service is intended for use by businesses and individuals engaged in the manufacture or sale of candles, wax melts, and scented products.

You agree to provide and maintain accurate, current, and complete information, including your business name and address, as these details appear on generated CLP labels. Inaccurate responsible person details on a CLP label may constitute a regulatory breach for which you are solely responsible.

5. Subscriptions and Payment

5.1 Plans and Pricing

The Service is offered on a subscription basis with multiple tiers. Current pricing and features are displayed on the Service and may change with reasonable notice.

5.2 Free Tier

The free tier allows limited use of the Service without payment. Free tier users may generate watermarked label previews but may not download final labels.

5.3 Paid Subscriptions

Paid subscriptions are billed monthly in advance via our payment processor (Stripe). By subscribing, you authorise us to charge your payment method on a recurring basis.

5.4 Label Limits

Each subscription tier includes a monthly allowance of CLP label generations. Unused allowances do not roll over to the following month.

5.5 Cancellation

You may cancel your subscription at any time through the Service. Cancellation takes effect at the end of the current billing period. No refunds are given for partial months.

5.6 Price Changes

We may change subscription prices with at least 30 days' notice. Founder pricing, where offered, will be honoured for as long as the subscriber maintains continuous subscription.

5.7 Trade Shop Transaction Fees

Subscription tiers that include a trade shop or public e-commerce shop are subject to a platform transaction fee on each payment processed through Stripe Connect. The fee is a percentage of the order total and is automatically deducted before funds are transferred to your connected Stripe account. Current fee rates are displayed on our pricing page and may vary by tier (for example, 1.7% on Growth and 1.5% on Pro at the time of writing).

Platform transaction fees are non-refundable, even if the underlying order is later refunded to your customer. Standard Stripe payment processing fees also apply and are separate from the Aromathy platform fee.

6. Acceptable Use

You agree not to:

• Use the Service to generate labels for products you do not manufacture or sell
• Share your account credentials with others or allow others to use your account
• Upload fraudulent, misleading, or falsified Safety Data Sheets
• Use the Service to deliberately generate non-compliant labels
• Attempt to circumvent label generation limits, subscription restrictions, or abuse prevention measures
• Use automated tools, scripts, or bots to access the Service without our prior written consent
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service for any unlawful purpose

7. Business Name Policy

Your business name appears on all generated CLP labels as the responsible person. To prevent misuse:

• Your business name may be changed once per six-month period
• Change history is logged and retained
• We reserve the right to refuse name changes that appear fraudulent or intended to circumvent these Terms

8. Intellectual Property

8.1 Our IP

The Service, including its design, code, algorithms, and branding, is owned by Aromathy Ltd and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.

8.2 Your Data

You retain ownership of all data you upload to or create within the Service, including your formulas, product information, and Safety Data Sheets. By using the Service, you grant us a limited licence to process this data solely for the purpose of providing the Service to you.

8.3 Generated Labels

CLP labels generated by the Service are for your use on your products. The label content (hazard statements, pictograms, etc.) is derived from regulatory requirements and your input data, and is not subject to our copyright. The label layout and design are provided under your subscription licence.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal and business data.

10. Safety Data Sheets

Safety Data Sheets uploaded to the Service are stored securely and used solely for the purpose of parsing hazard classification data for your CLP labels. We do not share your SDS documents with other users or third parties.

The Service uses automated parsing to extract data from SDS documents. While we strive for accuracy, automated parsing may occasionally produce errors. You should verify that the parsed data matches the original SDS before generating labels.

11. UFI Codes

The Service generates Unique Formula Identifiers (UFIs) for your products. You are responsible for ensuring that UFIs are correctly submitted to the relevant poison centre notification body (HSE for UK, ECHA for EU) along with the required formula information. The Service generates the UFI code but does not submit poison centre notifications on your behalf.

12. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• We do not warrant that the Service will be uninterrupted, error-free, or that labels generated will meet all regulatory requirements.
• Our total liability to you for any claims arising from or related to the Service shall not exceed the total amount you have paid to us in the 12 months preceding the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
• We shall not be liable for any regulatory fines, penalties, enforcement actions, product recalls, or legal proceedings arising from your use of labels generated by the Service.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

13. Indemnification

You agree to indemnify and hold harmless Aromathy Ltd, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your breach of these Terms
• Your violation of any applicable law or regulation
• Any claim that products labelled using the Service caused harm to any person
• Any regulatory action taken against you in connection with products labelled using the Service

14. Data Retention

14.1 Active Accounts

Your data is retained for as long as your account is active.

14.2 Cancellation

If you cancel your subscription, your data is retained for 90 days after the end of your billing period. During this time you may resubscribe to regain access. After 90 days, your data may be permanently deleted.

14.3 Termination

If we terminate your account for breach of these Terms, your data is retained for 30 days before permanent deletion.

14.4 Export

You may export your data at any time while your account is active.

15. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make reasonable efforts to notify you of material changes via email or through the Service.

16. Modifications to These Terms

We may update these Terms from time to time. Material changes will be notified to you via email or a prominent notice within the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Termination

We may suspend or terminate your account if you breach these Terms, use the Service fraudulently, or if required by law. We will provide notice where reasonably possible.

18. Governing Law

These Terms are governed by the laws of Northern Ireland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Northern Ireland.
